A Delaware Corporation
These Terms of Service (“Terms”, “Agreement”) govern your access to and use of the Nmbr platform, applications, tools, and related services (“Nmbr”, “Service”, “we”, “us”, “our”). By accessing or using Nmbr, or purchasing a paid Service, you agree to be bound by these Terms, our Privacy Policy, and any policy expressly incorporated into these Terms.
Nmbr is an AI-assisted leasing platform for long-term residential rentals. Nmbr provides technology and workflow support for rental listings, pricing guidance, renter communications, pre-screening, showings, and lease coordination. Landlords and Tenants retain control over their final decisions.
References to Nmbr as an “AI leasing agent” or “AI rental agent” describe the Service and do not mean that Nmbr acts as a licensed real estate broker or agent. Unless expressly agreed in a separate signed writing and permitted by applicable law, Nmbr is not a real estate broker, property manager, attorney, insurer, or party to a Lease Agreement.
1. Definitions
Landlord – a property owner or authorized representative listing or managing a rental unit through Nmbr.
Tenant – an individual applying to rent a property through Nmbr.
Listing – any rental property submitted, published, or managed via Nmbr.
Verification – the collection, confirmation, or sharing of identity, income, employment, background, rental history, or related information, directly or through a third-party provider when available.
Listing Service – the paid Nmbr service purchased by a Landlord for one specific long-term residential property Listing.
Listing Fee – the one-time USD $499 fee for the Listing Service for one Listing. Each additional Listing requires a separate purchase.
Offer – AI-generated pricing or leasing guidance.
Lease Agreement – the rental contract between Landlord and Tenant. Nmbr is not a party unless expressly stated.
Refund Policy – the Nmbr 28-Day Refund Guarantee policy that describes guarantee eligibility, refund requests, and refund amounts for the Listing Fee.
28-Day Guarantee Period – the 28 consecutive calendar days beginning when all start conditions in the Refund Policy have been satisfied.
Rented – a Listing for which a lease has been fully signed by all required parties, through Nmbr or elsewhere.
User Content – information, text, photographs, documents, messages, and other materials that a user submits, uploads, or makes available through the Service.
AI Recommendations – automated outputs generated by Nmbr; not legal or housing advice.
2. Eligibility
You may use Nmbr only if you:
- Are at least 18 years old;
- Have legal capacity to enter binding agreements;
- Have authority to submit rental applications or property listings;
- Comply with all housing, rental, and consumer reporting laws.
Nmbr may restrict access when reasonably necessary for legal, security, fraud-prevention, or compliance reasons, subject to Section 11.
3. Nmbr's Role
Depending on availability and the applicable user flow, Nmbr may provide:
- listing analysis, improvement, and promotion support
- AI-assisted pricing suggestions
- renter communication and pre-screening support
- showing and lease coordination
- collection and sharing of application information and coordination with third-party verification or screening providers
- optional paid benefits described at purchase
Nmbr does not:
- make final rental, tenant approval, underwriting, legal, or compliance decisions for a user
- guarantee acceptance or approval of an application
- ensure property condition, safety, repairs, or habitability
- mediate disputes
- provide legal or housing advice
4. User Responsibilities
4.1 Landlords
Landlords agree to:
- provide accurate and lawful listing information
- have the authority and necessary rights to list the property and provide the submitted materials
- comply with fair housing and rental laws
- make and remain responsible for final pricing, applicant, and leasing decisions
- promptly notify Nmbr if the property is rented, withdrawn, or otherwise unavailable
- use Nmbr for lawful rental purposes
4.2 Tenants
Tenants agree to:
- provide accurate personal and financial information
- complete any separate disclosure, authorization, or consent required for an available verification or screening service
- apply only for properties they intend to lease
- avoid fraud or misuse of the Service
4.3 Acceptable Use
Users must not:
- use the Service for unlawful, fraudulent, discriminatory, or misleading purposes
- impersonate another person or misrepresent authority
- interfere with the Service, introduce malicious code, scrape the Service, or attempt unauthorized access
- use applicant or consumer information for a purpose unrelated to a lawful housing transaction
- harass users or send unauthorized or deceptive messages
4.4 User Content and Listing Permissions
Users retain ownership of their User Content. By submitting User Content, the user grants Nmbr a non-exclusive, worldwide, royalty-free license to host, reproduce, format, edit, adapt, display, publish, distribute, and share that User Content only as reasonably necessary to provide and support the Service, including promoting a Listing when the User Content was supplied for that purpose.
This license allows Nmbr to share User Content with prospective renters, service providers, and listing or marketing platforms used to provide the Service. Nmbr may modify the presentation of a Listing but will not knowingly make a material factual change to the property information without the Landlord's approval.
Nmbr will not publicly publish private application information or private messages merely because they were submitted through the Service.
The user represents that they have the rights and permissions required to provide the User Content and that it does not violate applicable law or another person's rights. Nmbr may remove or restrict User Content that it reasonably believes violates these Terms or applicable law.
The license ends when the User Content is no longer reasonably needed to provide the Service, except for copies retained in backups or records for legal, security, fraud-prevention, or compliance purposes.
5. Verification
Nmbr may facilitate the collection and transmission of the following information and may coordinate with third-party providers when an available feature requires it:
- identity
- income
- employment
- background
- rental history
Any consumer report or third-party screening service is subject to applicable law and any separate disclosure, authorization, or consent presented in the relevant user flow. Acceptance of these Terms alone does not replace a separate authorization when one is legally required.
Landlords make all final applicant and leasing decisions and remain responsible for the legal obligations that apply to their use of screening information, including any required notices. Nmbr remains responsible for obligations that apply directly to Nmbr.
Nmbr does not guarantee the accuracy of information supplied by users or third parties and does not guarantee approval of an application. Applicants may have rights to obtain or dispute information under applicable law.
6. Fees and Payments
Nmbr offers a paid Listing Service for Landlords. The Listing Service costs USD $499 as a one-time fee for one Listing.
6.1 One-Time Listing Fee
The Listing Fee is charged once when the Landlord completes checkout. It is not a subscription and does not automatically renew. Each additional Listing requires a new, separate purchase.
6.2 Scope and Pricing
The Listing Fee applies only to the Listing identified at purchase and covers the Listing Service described in the purchase flow. Nmbr may change pricing for future purchases, but a later price change does not alter a completed purchase.
6.3 28-Day Refund Guarantee
The Listing Fee may qualify for Nmbr's 28-Day Refund Guarantee. If the property is not Rented by the end of the 28-Day Guarantee Period, Nmbr will refund the Listing Fee if the Landlord satisfies all eligibility and request requirements in the Nmbr Refund Policy.
The Guarantee Period begins only after the Listing Fee has been paid, the Listing is published and available for rent, and the Listing contains at least seven Qualifying Photos, as defined in the Refund Policy. A property is Rented when a lease has been fully signed by all required parties, whether through Nmbr or elsewhere.
The Refund Policy forms part of these Terms and controls the eligibility requirements, request procedure, and refund amount for the 28-Day Refund Guarantee.
6.4 Cancellations and Other Refunds
Closing an account, withdrawing a Listing, or choosing not to continue using the Listing Service does not automatically create a right to a refund. Refund eligibility is governed by the Refund Policy and any rights that cannot be waived under applicable law.
6.5 Payment Processing
All payments are processed via third-party payment providers. By submitting payment information, the purchaser authorizes the applicable charge shown at checkout. Nmbr does not receive or store complete card numbers.
Nmbr may suspend the affected Listing Service or additional paid service if a payment is declined, reversed, or disputed. A chargeback or payment dispute does not create a duplicate right to recover the same amount and is handled together with the Refund Policy and applicable law.
7. No Damage Protection
Nmbr does not provide:
- property damage coverage
- habitability guarantees
- repair reimbursement
- landlord or tenant insurance
unless explicitly stated in a written agreement.
8. AI Disclaimer
Nmbr uses AI to assist with communication, recommendations, listing workflows, and pre-screening support.
AI outputs may be incomplete or contain errors and do not constitute legal, financial, or housing advice.
Users must independently review AI outputs before relying on them. Nmbr does not make final tenant approval, underwriting, legal, housing, or compliance decisions on a user's behalf. Landlords remain responsible for pricing, applicant selection, and signing the Lease Agreement, and Tenants remain responsible for their application and leasing decisions.
9. Limitations of Liability
To the maximum extent allowed by law:
- Nmbr's aggregate liability arising from a paid Listing Service is limited to the amount actually paid to Nmbr for the Listing Service giving rise to the claim
- For users who have not paid any amount, liability is capped at USD $50
- Nmbr is not liable for indirect, incidental, special, or consequential damages
- The Service is provided “as-is” and “as-available”
Nmbr is not responsible for:
- lease performance
- eviction or disputes
- property condition
- third-party errors
- fraud by users
Nothing in this Section limits Nmbr's express refund obligations under the Refund Policy or any liability or remedy that cannot legally be limited or excluded.
10. Additional Paid Services
Any additional paid service or feature is separate from the Listing Service and applies only when it is expressly described and separately purchased or confirmed by Nmbr in writing.
Nmbr does not provide insurance, legal representation, property management, or a guarantee of tenant behavior unless expressly required by law or agreed in a separate written agreement.
11. Termination
11.1 By User
You may close your account at any time.
Closing an account does not automatically create a right to a refund of the Listing Fee. Refund eligibility is governed by the Refund Policy and applicable law.
11.2 By Nmbr
Nmbr may suspend or terminate an account or Listing Service for:
- fraud
- non-payment
- misuse
- legal violations
- risk or compliance concerns
When reasonably practical, Nmbr will provide notice of the reason for suspension or termination and an opportunity to address the issue. Nmbr may act immediately when reasonably necessary to prevent harm, fraud, unauthorized access, or a legal violation.
Suspension or termination does not eliminate refund rights or other remedies that have already accrued under the Refund Policy or applicable law.
11.3 Survival
Provisions that by their nature should survive termination remain effective, including payment obligations, permitted record retention, limitations of liability, dispute resolution, governing law, and the General Terms.
12. Dispute Resolution & Governing Law
12.1 Informal Resolution
Before filing a legal claim, the party raising the dispute must send written notice to [email protected] describing the dispute and the requested resolution. The parties will attempt in good faith to resolve the dispute for 30 calendar days after the notice is received.
This requirement does not prevent either party from seeking urgent injunctive relief or filing a claim when necessary to avoid the expiration of an applicable limitation period.
12.2 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. However, this choice of law does not limit any consumer rights or protections that cannot legally be waived under the laws applicable to the user.
12.3 Courts and Small Claims
If a dispute cannot be resolved informally, any legal action arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in Delaware, except where applicable law requires or permits another forum.
Either party may bring an eligible individual claim in a small claims court that has jurisdiction over the parties.
12.4 Non-Waivable Rights
Nothing in these Terms prevents a user from contacting or filing a complaint with a government agency or exercising any right that cannot legally be waived.
13. Modifications
Nmbr may update these Terms from time to time. When a change is material, Nmbr will provide reasonable advance notice through the Service, by email, or by another appropriate method, except when an immediate change is reasonably necessary for legal, security, or fraud-prevention reasons.
Changes apply prospectively from their stated effective date. They do not retroactively change the price, Refund Policy, or other material purchase terms for a Listing Service already paid for, unless the change is required by applicable law or the affected user expressly agrees.
The version of these Terms and the Refund Policy in effect when the Listing Fee was paid governs that purchase. Continued use of the Service after the effective date of properly notified changes constitutes acceptance of the updated Terms for future use. A change in how Nmbr uses personal information remains subject to the Privacy Policy and any consent required by law.
14. Privacy
The Nmbr Privacy Policy describes how Nmbr collects, uses, shares, and retains personal information.
Where applicable law requires a separate authorization or consent for a background check, consumer report, marketing communication, or recorded call, acceptance of these Terms alone does not replace that separate authorization or consent.
15. Notices
Nmbr may provide notices through the Service, by email to the address associated with the user's account, or by another method reasonably designed to reach the user. Users are responsible for keeping their contact information current.
Legal notices to Nmbr must be sent to [email protected] and should identify the sender, the affected account or Listing, the nature of the notice, and the requested response.
Written notices may also be sent to Easy Flat Inc., 199 Water Street, New York, NY 10038, United States. An electronic notice is considered received when sent unless the sender receives a delivery failure message. A mailed notice is considered received when delivered.
16. General Terms
16.1 Nmbr Intellectual Property
Except for User Content, Nmbr and its licensors own the Service, software, designs, trademarks, and Nmbr-created content. Subject to these Terms, Nmbr grants users a limited, personal, non-exclusive, non-transferable, and revocable right to use the Service for its intended purpose. No ownership right is transferred to a user.
16.2 Third-Party Services
The Service may rely on or link to payment processors, listing platforms, verification providers, communications providers, and other third-party services. Their own terms and privacy policies may apply. Nmbr is not responsible for a third party's independent acts or omissions except to the extent required by applicable law.
16.3 Severability
If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
16.4 No Waiver
A failure or delay in enforcing a provision is not a waiver of that provision or any other right.
16.5 Assignment
A user may not assign these Terms without Nmbr's prior written consent. Nmbr may assign these Terms in connection with a merger, reorganization, financing, or sale of all or part of its business or assets, subject to applicable law and the user's non-waivable rights.
16.6 Force Majeure
Nmbr is not responsible for a delay or failure caused by events beyond its reasonable control, including natural disasters, widespread service outages, government action, labor disputes, or failures of essential third-party infrastructure. This does not eliminate obligations or rights that accrued before the event or that cannot legally be waived.
